Terms of Service for Booth Genius Effective Date: June 26, 2026 Last Updated: June 26, 2026 Welcome to Booth Genius! These Terms of Service ("Terms") govern your access to and use of the Booth Genius website (https://www.boothgen.com), platform, software, and Customer Relationship Management (CRM) services (collectively, the "Service"). By creating an account, subscribing to a plan, or using the Service, you ("User," "Subscriber," or "you") agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service. ──────────────────────────────────────── 1. ACCOUNT REGISTRATION AND SECURITY • Eligibility: You must be at least 18 years old and capable of forming a binding legal contract to use this Service. • Account Responsibility: You must provide accurate, current, and complete information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. • Unauthorized Use: You agree to notify Booth Genius immediately at support@boothgen.com if you suspect or detect any unauthorized use of your account or any other breach of security. ──────────────────────────────────────── 2. SUBSCRIPTIONS, FEES, AND PAYMENTS Booth Genius offers two pricing models: • Free / Revenue-Share Tier: You may use Booth Genius at no upfront cost. Once you process your first booking, a platform fee of approximately 2% is automatically deducted from each transaction via Stripe Connect. By connecting your Stripe account to Booth Genius, you authorize this fee to be applied to payments processed through the platform. • Growth Plan (Flat Subscription): Operators who exceed approximately 12–15 events per year may upgrade to a flat monthly or annual subscription. Current pricing is available on our website. By subscribing, you authorize Booth Genius (via Stripe) to automatically charge your chosen payment method at the start of each billing cycle. • Taxes: All fees are exclusive of applicable federal, state, or local taxes, which will be calculated and added to your invoice where required by law. • Price Changes: We reserve the right to change our subscription fees or platform fee percentage at any time. We will provide at least 30 days' advance notice of any price changes. Continued use of the Service after the change takes effect constitutes agreement to the new pricing. • Refund Policy: Except as explicitly stated otherwise or required by law, all subscription payments are non-refundable. Revenue-share fees deducted from processed transactions are also non-refundable except in cases of verified payment disputes. ──────────────────────────────────────── 3. CANCELLATION AND TERMINATION • Cancellation: You may cancel your Booth Genius subscription at any time through your account dashboard. Your cancellation will take effect at the end of your current paid billing period, and you will retain access to the Service until that time. • Termination by Booth Genius: We reserve the right to suspend or terminate your account and restrict your access to the Service immediately, without prior notice or liability, if: • You violate or breach any provision of these Terms. • You fail to pay your subscription fees on time. • Your account activity poses a security risk to the platform or other users. • Data Retrieval After Termination: Upon account cancellation or termination, your data may be permanently deleted from our active databases after a grace period of 30 days. It is your responsibility to export your CRM data before canceling your subscription. ──────────────────────────────────────── 4. ACCEPTABLE USE AND RESTRICTIONS You agree that you will not, and will not permit any third party to: • Use the Service for any illegal or unauthorized purpose, or to violate any local, state, national, or international laws. • Modify, adapt, hack, reverse-engineer, or decompile the Service or its underlying source code. • Use Booth Genius to transmit any viruses, malware, worms, or malicious code. • Send spam, unsolicited bulk messages, or automated communications (emails/SMS) that violate anti-spam laws, including the CAN-SPAM Act or TCPA (Telephone Consumer Protection Act). • Interfere with or disrupt the integrity, security, or performance of the Service or its related servers and networks. ──────────────────────────────────────── 5. PROPRIETARY RIGHTS AND DATA OWNERSHIP A. Our Intellectual Property Booth Genius owns and retains all rights, title, and interest in and to the Service, including the website design, software code, algorithms, logos, branding, graphics, and user interface elements. These Terms do not grant you any ownership rights or licenses to our intellectual property except for the limited right to use the CRM as a subscriber. B. Your Data and Content • Ownership: You retain full ownership of all data, text, images, client lists, contracts, and other content that you upload, enter, or sync to your Booth Genius account ("Subscriber Content"). • License to Booth Genius: You grant Booth Genius a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process your Subscriber Content solely for the purpose of providing, maintaining, and improving the Service for you. • Data Accuracy: You represent and warrant that you have all necessary rights and permissions to upload and store your client and event guest data into Booth Genius. ──────────────────────────────────────── 6. SERVICE AVAILABILITY AND SUPPORT • Uptime: We strive to maintain high availability for the CRM platform. However, the Service is provided on an "as-is" and "as-available" basis. We do not guarantee that the Service will be completely uninterrupted, error-free, or fully secure. • Maintenance: We may occasionally perform scheduled or emergency maintenance, which may result in brief periods of downtime. We will make reasonable efforts to notify users of scheduled downtime in advance. ──────────────────────────────────────── 7. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, in no event shall Booth Genius, its founders, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, loss of business goodwill, or loss of revenue arising out of or relating to your use of, or inability to use, the Service. In no event shall Booth Genius's total cumulative liability for all claims relating to the Service exceed the total amount of subscription fees or platform fees paid by you to Booth Genius during the twelve (12) months immediately preceding the event giving rise to liability. ──────────────────────────────────────── 8. INDEMNIFICATION You agree to defend, indemnify, and hold harmless Booth Genius and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: • Your use of and access to the Service. • Your violation of any provision of these Terms. • Your violation of any third-party right, including but not limited to privacy rights, anti-spam laws, or intellectual property rights. • Any claim that your Subscriber Content caused damage to a third party. ──────────────────────────────────────── 9. GOVERNING LAW AND DISPUTE RESOLUTION These Terms and your relationship with Booth Genius shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any legal action, suit, or proceeding arising out of or relating to these Terms must be brought exclusively in the state or federal courts located in Baltimore City, Maryland, and you consent to the personal jurisdiction of such courts. ──────────────────────────────────────── 10. CHANGES TO THESE TERMS We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting a notice on our website or emailing the address associated with your account. What constitutes a material change will be determined at our sole discretion.
